Amendment No. 5 to Consulting Services Agreement between City of San Leandro and Gates & <br />Associates for Shoreline Park at the Marina, Project No. 2020.3080 Page 1 of 2 <br />AMENDMENT NO. 5 TO CONSULTING SERVICES AGREEMENT BETWEEN <br />THE CITY OF SAN LEANDRO AND <br />GATES + ASSOCIATES <br />FOR <br />SHORELINE PARK AT THE MARINA <br />This Amendment No._5__ (“Amendment”) is made by and between the City of San Leandro <br />(“City”) and GATES & ASSOCIATES (“Consultant”) (together sometimes referred to as the “Parties”) as of <br />_________________, and amends that certain Consulting Services Agreement ( “CSA” or “Agreement”) <br />dated March 5, 2024, between t he Parties. <br />WHEREAS, City and Consultant have executed the Agreement, pursuant to which Consultant has <br />provided certain consulting services to City with regard to Shoreline Park at the Marina Project; and <br />WHEREAS, the Parties desire to amend the Agreement to include additional regulatory agency <br />permit processing Shoreline Park Project. <br />NOW THEREFORE, for good and valuable consideration, the sufficiency of which is hereby <br />acknowledged, the Parties hereby agree to amend the Agreement as follows: <br />1. Section 2 of the Agreement entitled “Compensation” is hereby amended to pay Consultant a <br />sum not to exceed $3,069,346.84, which is an increase of $10,304.00; and <br />2.Exhibit A of the Agreement entitled “Scope of Services” is hereby amended to include: <br />Task 4.3.1: Perform additional sampling, testing, analysis and reporting for defined dredge area, <br />including in-Bay and beneficial reuse at Cullinan Ranch Restoration Project Area, and as <br />requested by the City. <br />3.Exhibit B of the Agreement entitled “Compensation Schedule & Reimbursable Expenses” is <br />hereby amended to include: <br />Original Contract: $3,015,700.00 <br />Amendment No. 01 $20,202.84 <br />Amendment No. 02 $10,560.00 <br />Amendment No. 03 $5,150.00 <br />Amendment No. 04 $7430.00 <br />Amendment No. 05 $10,304.00 (new) <br />Revised PO Total: $3,069,346.84 <br />4.Except as modified by this Amendment, all other terms shall remain in full force and effect. <br />This Amendment may be executed in multiple counterparts, each of which shall be an original and <br />all of which together shall constitute one agreement. <br />Docusign Envelope ID: D3886DBE-B91A-48B8-8B13-98FC0D0AA5C3 <br />January 13, 2026 | 11:30:55 AM PST <br />Docusign Envelope ID: 1356C836-3633-400E-9F71-5E7CA349DA9D
