ATTORNEY WORK PRODUCT <br />PRIVILEGED & CONFIDENTIAL <br />Proprietary Information & Exclusivity Agreement between City of San Leandro and Last revised 01/12/2026 <br />Reclaim Lost Assets, LLC for approximately $2.2 M in the form of an uncashed check Page 6 of 12 <br />14.Indemnification <br />Refer to the attached Exhibit A (Indemnification), which is incorporated herein and made part of this <br />Agreement. <br />15.Entire Agreement <br />This Agreement constitutes the entire agreement between the Parties with respect to its subject matter and <br />supersedes any prior discussions or proposals. <br />16.Amendment <br />This Agreement may be amended upon mutual agreement in writing and signed by both Parties. <br />17.Counterparts <br />This Agreement may be executed in counterparts, each of which is deemed an original. <br />18.Conflicts or Inconsistencies <br />In interpreting this Agreement and resolving conflicts, errors, or discrepancies, the order of precedence <br />shall be as follows: <br />1.This Agreement (“EA”); <br />2.The Contractor Services Agreement (“SA”); <br />3.The ordinances, resolutions, and published policies of the City. <br />21.Contract Administration <br />Upon final execution, this Agreement shall be administered by Brian Simons (“Contract Administrator”).
