Guarantee - RH guarantees your satisfaction with the Contract Talent Solutions and Full-Time Engagement Professionals services of the Professional by extending to you a guarantee period equal to the first: (i) day (8 hours) of the assignment for finance & accounting, administrative & customer support and legal practice groups; (ii) two (2) days (16 hours) of the assignment for management resources and marketing & creative practice groups; and (iii) five (5) days (40 hours) of the assignment for the technology practice group and Full-Time Engagement Professionals. If, for any reason, you are dissatisfied with the Professional assigned to you, RH will not charge for the hours worked during the applicable guarantee period, provided you allow RH to replace the Professional. Unless you contact RH before the end of the applicable guarantee period, you agree the Professional is satisfactory. 2. Bill Rates and Time Sheet - Hourly bill rates for all assignments will be negotiated on a case-by-case basis pursuant to the HGAC Agreement. Professionals will present a time sheet or an electronic time record to you or your representative for verification and approval at the end of each week. RH will bill you monthly for the total hours worked; RH’s invoices are due within 30 days of receipt, including applicable sales and service taxes all of which are payable by you. In the event that you fail to pay the invoices when due, you agree to pay all of RH’s costs of collection, including reasonable attorneys' fees, whether or not legal action is initiated. RH may charge you a technology fee for the provision of equipment or technology, if you request that a Professional use equipment or technology provided by RH. RH will provide written or verbal notice of any technology fees starting as of the effective date RH specifies. 3. Overtime - If applicable, overtime will be billed at 1.50 times the normal billing rate. Federal law defines overtime as hours in excess of 40 hours per week, state laws vary. If state law requires double time pay, the double time hours will be billed at 2.00 times the normal billing rate. 4. Hiring the Person Referred to You - After you evaluate the performance and potential of a Professional on the job, you may wish to employ this person directly. In such event, you agree to pay a conversion fee. The conversion fee is payable if you hire a Professional, regardless of the employment classification, on either a full-time, temporary (including temporary assignments through another agency) or consulting basis during, or within twelve months after the last day of, the assignment. You also agree to pay a conversion fee if a Professional is hired by (i) a subsidiary or other related company or business as a result of your referral of the Professional to that company or (ii) one of your customers as a result of the Professional providing services to that customer. The conversion fee will be owed and invoiced upon the hiring of the Professional, and payment is due upon receipt of the invoice. The same calculation will be used if the Professional is converted on a part- time basis, using the full-time equivalent salary. a. The conversion fee will be pursuant to the HGAC Agreement. b. Full-Time Engagement Professionals - Hourly bill rates for Full-Time Engagement Professionals will be negotiated on a case-by-case basis. In addition, you are discouraged from, and you agree to seek RH’s permission before, directly hiring Full-Time Engagement Professionals. If you do hire a Full-Time Engagement Professional, the conversion fee schedule in Section 4 above shall not apply and, instead, the conversion fee will be 50% of the Full-Time Engagement Professional’s aggregate annual compensation, including bonuses. 5. The parties agree that this Agreement shall have an estimated not-to-exceed amount of $850,000. Notwithstanding anything to the contrary in this Agreement, RH may at any time, in its sole discretion, discontinue performance of the services once the Not-to-Exceed Amount has been attained (even if RH continued to provide services after the Not-To-Exceed Amount was reached).
