Amendment No. 2 to Consulting Services Agreement between City of San Leandro January 1, 2026 and East Bay SPCA Page 1 of 2 AMENDMENT NO. 2 TO CONSULTING SERVICES AGREEMENT BETWEEN THE CITY OF SAN LEANDRO AND EAST BAY SPCA FOR ANIMAL WELFARE SERVICES This Amendment No.2 (“Amendment”) is made by and between the City of San Leandro (“City”) and East Bay SPCA (“Consultant”) (together sometimes referred to as the “Parties”) as of January 1, 2026, and amends that certain Consulting Services Agreement (“CSA” or “Agreement”) dated July 1, 2023, between the Parties. WHEREAS, City and Consultant have executed the Agreement, pursuant to which Consultant has provided certain consulting services to City with regard to animal welfare services, and WHEREAS, the Parties desire to amend the Agreement to extend the term of service. WHEREAS, the original CSA was approved by the Council on June 20, 2023, per Council Resolution Number 2023-084; and WHEREAS, Amendment No. 1 to the CSA was approved by the Council on July 21, 2025, per Council Resolution Number 2025-095; and WHEREAS, the CSA was further approved by the Council on December 8, 2025, per Council Resolution Number 2025-162. NOW THEREFORE, for good and valuable consideration, the sufficiency of which is hereby acknowledged, the Parties hereby agree to amend the Agreement as follows: 1. Section 1.1 of the Agreement entitled “Term of Services” is hereby amended to extend the term from December 31, 2025, to June 30, 2027; and 2. Section 2 of the Agreement entitled “Compensation” is hereby amended to pay Consultant a sum not to exceed $1,517,000; and 3. Except as modified by this Amendment, all other terms shall remain in full force and effect. This Amendment may be executed in multiple counterparts, each of which shall be an original and all of which together shall constitute one agreement.
