<br />Consulting Services Agreement between City of San Leandro and 03/13/2026 <br />Alta Planning + Design, Inc. for Planning &Transportation Consulting Services Page 15 of 16 <br />Exhibit D Infectious Disease Requirements <br /> <br />10.13 Counterparts. This Agreement may be executed in multiple counterparts, each of which <br />shall be an original and all of which together shall constitute one agreement. <br /> <br />10.14 Certification per Iran Contracting Act of 2010. In the event that this contract is for <br />one million dollars ($1,000,000.00) or more, by Consultant’s signature below Consultant <br />certifies that Consultant, and any parent entities, subsidiaries, successors or subunits of <br />Consultant are not identified on a list created pursuant to subdivision (b) of Section 2203 of <br />the California Public Contract Code as a person engaging in investment activities in Iran as <br />described in subdivision (a) of Section 2202.5, or as a person described in subdivision (b) <br />of Section 2202.5 of the California Public Contract Code, as applicable. <br /> <br />10.15 Conflicts or Inconsistencies. In interpreting this Agreement and resolving conflicts, <br />errors, or discrepancies, the order of precedence shall be as follows: <br /> <br />1. This Agreement <br />2. The ordinances, resolutions, and policies of the City <br />3. The Consultant’s proposal, as reflected in Exhibit A. <br /> <br />10. 16 Force Majeure. Neither Party shall be liable for failure of or delay in performing obligations <br />set forth in this Agreement, and neither shall be deemed in breach of its obligations, if such <br />failure or delay is due to natural disasters or any causes beyond the reasonable control of <br />either Party (including any act or provision of any present or future law or regulation or <br />government authority, any act of God, pandemic, epidemic, war, civil or military <br />disobedience or disorder, riot, terrorism, fire, e arthquake, storm, flood, strike, work <br />stoppage or similar occurrence. In the event of such force majeure, the Party affected <br />thereby shall use reasonable efforts to cure or overcome the same and resume <br />performance of its obligations hereunder.
