<br /> <br /> <br />Non-Professional Services Agreement between 1/05/2026 <br />City of San Leandro and Bigge Crane and Rigging Co.—Exhibit E Page 1 of 3 <br />EXHIBIT E <br /> <br />Addendum to the Non-Professional Service Agreement between the City of San Leandro and Bigge <br />Crane and Rigging Co. <br />Operated and Maintained Equipment <br />The following modifications in this Addendum supersede and take precedence over the Non - <br />Professional Service Agreement (“NPSA”) between the City of San Leandro (“City”) and Bigge <br />Crane & Rigging Co. ("Subcontractor”) and are incorporated therein: <br /> <br />1. Bond: Subcontractor will not provide a bond. <br /> <br />2. Site Conditions: Subcontractor is not liable for damage to underground structures, voids or <br />utilities not specifically disclosed to it in advance. All parties shall agree in advance in <br />writing regarding protection of identified underground utilities. City shall ensure jobsite is <br />free and clear for Subcontractor’s equipment to access, and that jobsite’s soil conditions <br />are able to sustain the weight of Subcontractor’s equipment. <br /> <br /> <br />3. Payment: Payment term is net 30 days of invoice date. Subcontractor does not waive its lien <br />rights. Unpaid amounts will bear interest from the due date until paid at 18% per annum, and <br />retention is 0%. City is responsible for Subcontractor’s costs related to collection of <br />delinquent payments, including but not limited to, attorneys’ fees and other collections <br />expenses. <br /> <br />4. Warranty: Subcontractor warrants the work will be done in a good, skillful manner, in <br />accordance with applicable industry and professional standards, and that it has the <br />experience and skills to perform the Work. No other warranties are provided or implied . <br /> <br />5. Indemnification: Subcontractor shall indemnify and defend City only to the extent of and in <br />proportion to Subcontractor’s negligence or fault. Subcontractor shall not indemnify or <br />defend any other party for negligence or fault of any other party. When Subc ontractor does <br />not provide the riggers or signalpersons, Subcontractor’s operator shall be deemed to be <br />working at City’s exclusive direction and control, and City shall indemnify, defend, release <br />and hold Subcontractor harmless from all loss or damage, including property damage and <br />bodily injury or death resulting from acts or omissions of the crane operator, riggers or <br />signalperson and any other “below the hook” accidents. <br /> <br />6. Insurance: Subcontractor maintains $2M occurrence/$4M aggregate general liability <br />insurance. Higher limits at additional cost are available upon request.
