City of San Leandro <br />Civic Center, 835 E. 14th Street <br />San Leandro, California 94577 <br />April 6, 2009 <br />Mr. Louie Pellegrini <br />Vice President <br />Alameda County Industries, Inc. <br />601 Aladdin Avenue <br />San Leandro, CA 94577 <br />RE: NINTH AMENDMENT TO FRANCHISE AGREEMENT <br />Dear Mr. Pellegrini: <br />This letter is the Ninth Amendment (the "Amendment") to the Franchise Agreement for Solid Waste, <br />Recyclables, and Green Waste Services between the City of San Leandro and Alameda County Industries, <br />Inc., dated February 1, 2000 (the "Agreement"). For good and valuable consideration, the receipt and <br />adequacy of which are hereby acknowledged, the City of San Leandro and Alameda County Industries, <br />Inc., hereby agree as follows; <br />Effective July 1, 2009, ACI is authorized to implement a ten percent (10%) increase on all <br />rates. <br />2. The ten percent (10%) rate increase supersedes the 2009 annual rate adjustment process as <br />specified in Section 6.2 of the Agreement. <br />3. All future rate increases as specified in Sections 6.2 and 6.3 of the agreement will be <br />suspended until the parties agree on a new rate adjustment process and additional services for <br />customers, and amend the Agreement accordingly. <br />4. Such amendments to the Agreement will be brought before the San Leandro City Council for <br />approval before August 1, 2009. <br />5. Except as amended, the Agreement and all of its previously amendments, and unamended <br />terms and provisions shall remain in full force and effect. <br />Please indicate Alameda County Industries, Inc.'s acceptance of this Amendment by signing and returning <br />to me a copy of the Amendment. <br />Tony Santos, Mayor <br />City Council: Michael J.
