<br /> <br /> <br />GRANT AGREEMENT BETWEEN THE CITY OF SAN LEANDRO <br />AND THE SAN LEANDRO IMPROVEMENT ASSOCIATION <br /> <br /> <br />THIS GRANT AGREEMENT (the “Agreement”) is entered into effective as of June __, <br />2023 (“Effective Date”) by and between the City of San Leandro, a California charter city (the <br />“City”), and the San Leandro Improvement Association, a California non-profit corporation <br />exempt from taxation pursuant to Internal Revenue Code section 501(c)(3) (the “Foundation”). <br />City and Foundation are referred to individually as “Party,” and collectively as the “Parties.” <br /> <br />RECITALS <br /> <br />A. The Foundation is a California non-profit corporation exempt from taxation <br />pursuant to Internal Revenue Code section 501(c)(3) and was formed in 2013. The Foundation’s <br />stated mission is to enhance and improve the cultural, educational, economic and social values of <br />the San Leandro community for the benefit of the general public thereby reducing the burden of <br />government. <br /> <br />B. Consistent with its stated mission, the Foundation manages the San Leandro <br />Downtown Community Benefit District (“District”) for the benefit of the City and its residents <br />and visitors. <br /> <br />C. The Parties share the common objectives of developing and maintaining the <br />highest level of services within the District for all of the City’s residents, by ensuring an <br />adequate level of equipment to reduce waste accumulation and improve the visual aesthetics in <br />Downtown San Leandro. <br /> <br />D. In furtherance of these common objectives, the City has agreed to provide a one- <br />time grant to the Foundation in an amount not to exceed Thirty Four Thousand Five Hundred and <br />Ninety Three Dollars and Ten Cents ($34,593.10) (the “Grant”), provided that Foundation agrees <br />to use the funds from the Grant to purchase and install chute-style garbage cans in Downtown <br />San Leandro (“Project”). <br /> <br />NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of <br />which are hereby acknowledged, the Parties to this Agreement agree as follows: <br /> <br />ARTICLE 1. <br />TERMS OF GRANT <br /> <br /> 1.1 The Grant. City agrees to provide the Grant to Foundation in an amount not to <br />exceed Thirty Four Thousand Five Hundred and Ninety Three Dollars and Ten Cents <br />($34,593.10) upon the terms and conditions and for the purposes set forth in this Agreement. <br /> <br /> 1.2 Use of Grant Proceeds.
