Amendment No. 1 to Consulting Services Agreement between City of San Leandro and BERRY DUNN McNEIL & PARKER, LLC Page 1 of 3 AMENDMENT NO. 1 TO CONSULTING SERVICES AGREEMENT BETWEEN THE CITY OF SAN LEANDRO AND BERRY DUNN McNEIL & PARKER, LLC FOR ENTERPRISE RESOURCE PLANNING SYSTEM UPGRADE ADVISORY & IMPLEMENTATION SERVICES This Amendment No. 1 (“Amendment”) is made by and between the City of San Leandro (“City”) and Berry Dunn McNeil & Parker, LLC (“Consultant”) (together sometimes referred to as the “Parties”) as of March, 17, 2026, and amends that certain Consulting Services Agreement ( “CSA” or “Agreement”) dated December 13, 2021, between the Parties. WHEREAS, City and Consultant have executed the Agreement, pursuant to which Consultant has provided certain consulting services to City with regard to Enterprise Resource Planning System Upgrade; and WHEREAS, the Parties desire to amend the Agreement to December 31, 2026; and WHEREAS, the CSA was approved by the Council on December 13, 2021 per Council Resolution Number 2021-179; and NOW THEREFORE, for good and valuable consideration, the sufficiency of which is hereby acknowledged, the Parties hereby agree to amend the Agreement as follows: 1. Section 1.1 of the Agreement entitled “Term of Services” is hereby amended to extend the term from March 30, 2024 to December 31, 2026; and 2. Section 2 of the Agreement entitled “Compensation” is hereby amended to pay Consultant a sum not to exceed $470,800 and 3. Exhibit A of the Agreement entitled “Scope of Services” is hereby amended as follows: 3.8 Project Leadership Team Services: BerryDunn will establish and facilitate meetings of a City Project Leadership Team (PLT), comprised of experienced City departmental leaders, who will liaise with the Executive Steering Committee (ESC) and Project Management Team (PMT). Through the structure of the PLT, BerryDunn will provide the following services: • Strategic Guidance: Work directly with the PLT to align implementation project phases with organizational goals, offering insights into project scope, timelines, and objectives during a weekly PLT meeting. • Risk Management & Mitigation: Anticipate potential project risks and provide mitigation strategies to help the ESC make informed, data-driven decisions. • Escalation & Issue Resolution: Serve as a point of contact for issues, bringing them to the ESC with recommended solutions for efficient and timely resolution.
