<br />Amendment No. 1 to <br />Consulting Services Agreement between City of San Leandro and April 14,2026 <br />Schaaf and Wheeler for Caltrans TCD Page 1 of 3 <br />AMENDMENT NO. 1 TO CONSULTING SERVICES AGREEMENT BETWEEN <br />THE CITY OF SAN LEANDRO AND <br />SCHAAF AND WHEELER <br />FOR <br />TRASH CAPTURE DEVICES <br />(CALTRANS IMPLEMENTATION AGREEMENT) <br /> <br /> <br />This Amendment No.1 (“Amendment”) is made by and between the City of San Leandro (“City”) <br />and Schaaf and Wheeler (“Consultant”) (together sometimes referred to as the “Parties”) as of <br />__________________________________, 2026, and amends that certain Consulting Services Agreement <br />( “CSA” or “Agreement”) dated August 6, 2025, between the Parties. <br /> <br />WHEREAS, City and Consultant have executed the Agreement, pursuant to which Consultant has <br />provided certain consulting services to City with regard to the design of stormwater trash capture devices; <br />and <br /> <br />WHEREAS, the Parties desire to amend the Agreement to provide additional design services <br />related to regulatory agency permit reviews; and <br /> <br />WHEREAS, the CSA was approved by the Council on June 2, 2025 per Council Resolution <br />Number 2025-059. <br /> <br />NOW THEREFORE, for good and valuable consideration, the sufficiency of which is hereby <br />acknowledged, the Parties hereby agree to amend the Agreement as follows: <br /> <br />1. Section 2 of the Agreement entitled “Compensation” is hereby amended to pay Consultant a <br />sum not to exceed FOUR HUNDRED TWENTY THOUSAND DOLLARS ($420,000); and <br /> <br />2. Exhibit A of the Agreement entitled “Scope of Services” is hereby amended to read: <br /> <br />Amendment 1 scope of work includes work from three different change orders to the original <br />contract scope as follows: <br /> <br />• Change Order 1: Project redesign revisions based on direction from City and ACFCD after the <br />initial 30% design review to accommodate reduced maintenance and better performance <br />• Change Order 2: Additional hydraulic modeling of stormwater flow conditions and TCD impacts <br />as required by Flood Control District reviews <br />• Change Order 3: Project management time, meetings, cost estimating and schedule updates <br />related to the extended project timeline, design revisions, and additional regulatory agency <br />reviews <br /> <br />3.
