<br />RE: SEVENTH AMENDMENT TO FRANCHISE AGREEMENT
<br />
<br />Dear Mr. Pellegrini:
<br />
<br />This letter is the Seventh Amendment (the "Amendment") to the Franchise Agreement for Solid Waste,
<br />Recyclables, and Green Waste Services between the City of San Leandro and Alameda County Industries,
<br />Inc., dated February 1, 2000 (the "Agreement"). For good and valuable consideration, the receipt and
<br />adequacy of which are hereby acknowledged, the City of San Leandro and Alameda County Industries,
<br />Inc., hereby agree as follows:

<br />1. The 2007, 2008 rates shall be adjusted using the following formula:

<br />Effective July 1, 2007, an additional 2% will be added to single-family refuse, recycling and
<br />green waste and commercial bin rates to provide "Enhanced Services" as allowed under
<br />section 5.7 of the Agreement. The City of San Leandro shall provide grant monies to ACI
<br />in the amount of One Hundred Twenty Thousand Dollars ($120,000) in monthly
<br />installments for the enhanced services for rate year 2007_
<br />

<br />2. "Enhanced Services" shall be defined as follows: a) weekly recycling collection to single family
<br />customers from biweekly collection as specified in section 4.6.E of the Agreement; and b)
<br />recycling and/or green waste collection (up to 96 gallons, one time per week) at no charge to
<br />
