City of San Leandro Civic Center, 835 E. 14th Street San Leandro, California 94577 December 20,2006 Mr. Louie Pellegrini Vice President Alameda County Industries, Inc. 601 Aladdin Avenue San Leandro, CA 94577 RE: EIGHTH AMENDMENT TO FRANCHISE AGREEMENT Dear Mr. Pellegrini: This letter (the "Amendment") is the eighth amendment to that certain Franchise Agreement for Solid Waste, Recyclables, and Green Waste Services between the City of San Leandro and Alameda County Industries, Inc., dated February 1, 2000 (the "Agreement"). For good and valuable consideration, the receipt and adequacy of which are hereby acknowledged, the City of San Leandro and Alameda County Industries, Inc" hereby agree as follows: 1. On March 22, 2006, Alameda County Industries (ACI) provided notice of their intent to adjust rates as required under Article 6.2 of the Agreement. 2 The City verified that ACI could increase rates by 2.9% as outlined in Article 6.2 of the Agreement, provided that ACI reduce rates by 2.2%, as required under the Fifth Amendment to the Agreement. ACI did not adjust rates on July 1,2006 pending approval of proposed service enhancements (Approved on December 18, 2006 as the Seventh Amendment to the Franchise Agreement). 3. ACI agrees to only increase rates by 2.2%, instead of the allowed rate increase of 2.9%, for the current rate period provided that the City allows ACI to recover the .7% increase in the next rate period, effective July 1,2007, 4. ACI will notify customers in January 2007 of the rate adjustments described above. 5.
