The first
amendment to the license agreement will allow for the extension. It is recommended that the
City Council adopt a resolution approving the First Amendment to License and authorizing the
City Manager to execute same.

BACKGROUND

The City owns a site along the bay known as Assessor's Parcel No. (APN) 80G-91O-2-11 that
lies between San Lorenzo Creek and Grant Avenue, which the District uses as the Shoreline
Trail. The original License Agreement of 1982 outlines the understanding of the parties,
including a provision that the term of the Agreement may be renewed by the parties upon mutual
acceptance. This First Amendment to License provides for an extension of the Agreement for
another 25-year period, from April 19, 2007 to April 19, 2032.

Analvsis

At the District's request, the First Amendment to the License was written to extend the license
term another 25 years. The Amendment includes updated insurance requirements and additional
allowances for revocation of the license in case of damage to the trail or a change of use by the
City that is incompatible with the District's use.
