Assignor is the owner of the real property located at 15320 Tropic Court in San <br /> Leandro, California, and more particularly described in Exhibit A attached hereto (the <br /> "Property"). The Property is improved with a 46 -unit apartment complex (the "Project "). In <br /> connection with the acquisition, financing and rehabilitation of the Property, the City of San <br /> Leandro, a municipal corporation (the "City ") provided certain financing to Citizens' Housing <br /> Corporation, a California nonprofit public benefit corporation ( "CHC "), and CHC executed <br /> certain agreements for the benefit of City (as more particularly described in Section 1 below, the <br /> "Assigned Agreements "). <br /> B. CHC subsequently conveyed the Property and the Project to Assignor, and in <br /> connection with such conveyance, pursuant to an Assignment and Assumption Agreement dated <br /> as of July 1, 2003, executed by CI -IC and Assignor and recorded in the Official Records of <br /> Alameda County ( "Official Records ") on July 31, 2003 as Instrument No. 2003 - 446758 (the <br /> "CHC Assignment Agreement "), CHC assigned to Assignor, and Assignor assumed from <br /> C1 -IC, all of CI-IC's rights and obligations under the Assigned Agreements. <br /> C. Assignor intends to convey the Property and the Project to Assignee, and in <br /> connection with such conveyance, Assignor desires to assign to Assignee, and Assignee desires <br /> to assume from Assignor, all rights and obligations of Assignor under the Assigned Agreements. <br /> NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of <br /> which are hereby acknowledged, Assignor and Assignee agree as follows: <br /> 1.
