Assignor is the owner of' the real property located at 15320 Tropic Court in San <br /> Leandro, California, and more particularly described in Exhibit A attached hereto (the <br /> "Property "). The Property is improved with a 46 -unit apartment complex (the "Project "). In <br /> connection with the acquisition, financing and rehabilitation of the Property, the Redevelopment <br /> Agency of the City of San Leandro, a public body corporate and politic (the "Agency ") provided <br /> certain financing to Citizens' Housing Corporation, a California nonprofit public benefit <br /> corporation ( "CI-IC "), and CHC executed certain agreements for the benefit of Agency (as more <br /> particularly described in Section 1 below, the "Assigned Agreements "). <br /> B. CI-IC subsequently conveyed the Property and the Project to Assignor, and in <br /> connection with such conveyance, pursuant to an Assignment and Assumption Agreement dated <br /> as of July 1, 2003, executed by CHC and Assignor and recorded in the Official Records of <br /> Alameda County ( "Official Records ") on July 31, 2003 as Instrument No. 2003 - 446759 (the <br /> "CHC Assignment Agreement "), CI -IC assigned to Assignor, and Assignor assumed from <br /> CI -IC, all of CHC's rights and obligations under the Assigned Agreements. <br /> C. Assignor and Agency executed that certain Estoppel Certificate, Consent and <br /> Agreement dated as of July 24, 2003 (the "Estoppel Agreement "). <br /> D. Assignor intends to convey the Property and the Project to Assignee, and in <br /> connection with such conveyance, Assignor desires to assign to Assignee, and Assignee desires <br /> to assume from Assignor, all rights and obligations of Assignor under the Assigned Agreements <br /> and the Estoppel Agreement. <br /> NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of <br /> which are hereby acknowledged, Assignor and Assignee agree as follows: <br /> 1725548.4 1 <br />
