<br /> NOTICE: THIS SUBORDINATION AGREEMENT RESULTS IN YOUR SECURITY INTEREST IN THE PROPERTY

<br /> THIS AGREEMENT, made January 02, 2013, by Roger Tonna and Mary F. Tonna, Trustees of the Tonna Revocable
<br /> Trust dated November 13,2000
<br /> owner of the land hereinafter described and hereinafter referred to as"Owner,"and the City of San Leandro, as housing
<br /> asset successor to the Redevelopment Agency of the City of San Leandro, a dissolved public body
<br /> present owner and holder of the deed of trust and regulatory agreement first hereinafter described and hereinafter
<br /> referred to as"Beneficiary";
<br /> WITNESSETH
<br /> THAT WHEREAS, Thomas R. Silva, Clyde E. Vincent, Jr., and Wanda Vincent did execute a deed of trust,dated August
<br /> . 2, 1999, to the City of San Leandro, a municipal corporation , as trustee, covering:
<br /> SEE EXHIBIT"A"ATTACHED HERETO AND MADE A PART HEREOF
<br /> to secure a note in the sum of Three Hundred Forty Thousand And No/100 Dollars($340,000.00), dated August 2, 1999,
<br /> in favor of the City of San Leandro Redevelopment Agency , which deed of trust was recorded on January 20, 2000, as
<br /> j` Instrument Number 2000018273, in Alameda County, Official Records of said county; and Beneficiary is also the
<br /> benefited party under that certain Regulatory Agreement dated August 2, 1999 recorded January 20, 2000, as Instrument
<br /> number 2000018274, of such official records, such deed of trust and regulatory agreement hereafter referred to
<br /> collectively as"the deed of trust first above mentioned."
<br /> WHEREAS, Owner has executed, or is about to execute, a deed of trust and note in the sum of One Million Five
<br /> Hundred Eighty Thousand And No/100 Dollars ($1,580,000.00) dated ) '20(2_ in favor of Luther
<br /> Burbank Savings, hereinafter referred to as "Lender," payable with interest and upon the terms and conditions described
<br /> therein, which deed of trust is to be recorded concurrently herewith; and
<br /> WHEREAS, it is a condition precedent to obtaining said loan that said deed of trust last above mentioned shall
<br /> unconditionally be and remain at all times a lien or charge upon the land hereinbefore described, prior and superior to the
<br /> lien or charge of the deed of trust first above mentioned; and
<br /> WHEREAS, lender is willing to make said loan provided the deed of trust securing the same is a lien or charge upon the
<br /> above described property prior and superior to the lien or charge of the deed of trust first above mentioned and provided
<br /> that Beneficiary will specifically and unconditionally subordinate the lien or charge of the deed of trust and regulatory
<br /> agreement first above mentioned to the lien or charge of the deed of trust in favor of Lender; and
