City and Chamber are referred to collectively herein as the <br /> "Parties." <br /> RECITALS: <br /> A. City is the owner of the real property located at 120-122 Estudillo Avenue in the City <br /> of San Leandro,Alameda County, State of California and more particularly described in <br /> Exhibit A attached hereto and incorporated herein (the "Property"). The Property is <br /> improved with a four-story public parking garage consisting of approximately 47,434 square <br /> feet (the "Garage"), which includes approximately 2,175 square feet of commercial office <br /> space (the "Office"). <br /> B. City intends to subdivide the Property into two parcels as depicted on Parcel Map 10073 <br /> attached hereto as Exhibit A(the"Map"). Each parcel is herein referred to individually as a <br /> "Parcel"and collectively the parcels are referred to as the"Parcels." As used herein, "Parcel 2" <br /> means Parcel 2 of the Parcel Map that will be conveyed to Chamber by separate instrument, and <br /> which consists solely of the Office. "Parcel 1"means Parcel 1 of the Parcel Map which will be <br /> retained by the City, and which includes the Garage and the land that underlies the Office and the <br /> Garage. <br /> C. The Parties desire the Property to be managed and operated in a uniform manner, and to <br /> subject the Parcels to the easements and the covenants, conditions, and restrictions as hereinafter <br /> set forth. <br /> 3/7/13 1 <br />
