City and Owner are collectively referred to herein as the <br />"Parties." <br />RECITALS <br />WHEREAS, Owner was the owner of fee title to that certain real property located <br />at 2382 and 2384 West Ave. 134th, San Leandro, California and Owner is the owner of <br />fee title to that certain real property located at 2380 West Ave. 134th, San Leandro <br />California, also known as Alameda County Assessor's Parcel Nos. 79A-576-47, 79A- <br />576-48, 79A-576-49 and 79A-576-50 (the "Property"), as more particularly described in <br />Exhibit A attached hereto and incorporated herein by this reference; and <br />WHEREAS, Owner has sold or is in the process of selling the Property; and <br />WHEREAS, pursuant to Section 6-3012 of the San Leandro Zoning Code (the <br />"Ordinance"), developers of for sale projects of six or fewer units may satisfy the City's <br />inclusionary housing requirement by paying an in lieu fee to the Affordable Housing <br />Trust Fund as set forth in Section 6-3028 of the San Leandro Zoning Code; and <br />WHEREAS, City and Owner entered into the Housing Agreement to permit <br />Owner to satisfy the Ordinance with the payment of an in -lieu fee (the "Fee") upon <br />transfer or sale of the Property; and <br />WHEREAS, Owner has paid the Fee and satisfied its obligations under the terms <br />of the Housing Agreement. <br />2647690.1 <br />
