All capitalized <br />terms used in this Memorandum and not defined shall have the meaning set forth in the Ground <br />Lease. <br />1. Pursuant to the Ground Lease, Lessor leases to Lessee and Lessee leases from Lessor that <br />certain real property, more particularly described in Exhibit A, attached hereto and incorporated <br />herein (the "Leased Premises"). The Ground Lease shall commence on October 30, 2023, and <br />shall remain in effect for the five (5) year Initial Term of the Ground Lease, together with any <br />One Year Extension Terms as provided thereunder, unless sooner terminated pursuant to the <br />terms and conditions of the Ground Lease. <br />2. As more particularly set forth in the Ground Lease, certain development and use <br />restrictions apply to the Leased Premises. <br />3. This Memorandum shall incorporate herein all of the terms and provisions of the Ground <br />Lease as though fully set forth herein. <br />4. This Memorandum is solely for recording purposes and shall not be construed to alter, <br />modify, amend or supplement the Ground Lease, of which this is a memorandum. In the event <br />of any inconsistency between the terms and conditions of this Memorandum and the terms and <br />conditions of the Ground Lease, the terms and conditions of the Ground Lease shall control. <br />5. This Memorandum may be executed by the parties hereto in separate counterparts, each <br />of which when so executed and delivered shall be an original, but all such counterparts so <br />executed shall together constitute but one and the same instrument. <br />�d��P64'� <br />
