t 1 2 3 4 EAST BAY DISCHARGERS AUTHORITY THIRD AMENDED JOINT EXERCISE OF POWERS AGREEMENT 5 6 for convenience as of February 15. 2007 , is made and entered into by and between 7 the CITY OF HAYWARD, a municipal corporation, hereinafter referred to as "Hayward"; 8 CITY OF SAN LEANDRO, a municipal corporation, hereinafter referred to as "San 9 10 Leandro"; ORO LaMA SANITARY DISTRICT, a public corporation, hereinafter referred 11 to as "Oro Lorna"; CASTRO VALLEY SANITARY DISTRICT, a public corporation, 12 hereinafter referred to as "Castro Valley"; and UNION SANITARY DISTRICT, a public 13 corporation, hereinafter referred to as "Union"; each duly organized and existing in the 14 County of Alameda under the constitution and laws of the State of California, and 15 amends that Second Amended Joint Exercise of Powers Agreement dated February 11, 16 1986, duly entered into by said Agencies, as follows: 17 18 19 THIS THIRD AMENDED JOINT EXERCISE OF POWERS AGREEMENT, dated WITNESSETH: 20 WHEREAS, each of the Agencies hereto has power to plan for, acquire, 21 construct, maintain, manage, operate, and control facilities for the collection, 22 transmission, treatment, reclamation, sale and disposal of wastewater; and the 23 Agencies propose by this Agreement to exercise said powers jointly for the purpose of 24 providing for the more efficient disposal of the wastewater produced in each Agency, all 25 to the economic and financial advantage of each Agency and otherwise for the benefit 26 of each Agency; and each of the Agencies is willing to plan with the other Agencies for 27 joint wastewater facilities which will protect all of the Agencies; 28 29 30 31 32 NOW THEREFORE, Hayward, San Leandro, Oro Lorna, Castro Valley, and Union, for and in consideration of the mutual promises and agreements herein contained, do agree as follows: -1-
