<br />Exhibit C <br /> <br />ADDITIONAL TERMS <br /> <br />A. MAINTENANCE AND USE <br /> <br />1. Licensee shall maintain the License Area, the fixtures and landscaping located <br />therein and the immediate environs at all times in a neat, clean, litter-free, odor-free and sanitary <br />condition. Maintenance includes, but is not limited to, steam cleaning quarterly of adjacent <br />sidewalks and paved surfaces as necessary to remove grime and grease. The License Area shall <br />be maintained to the same standard as the Licensee's adjacent parking areas so that they may <br />function as one cohesive parking lot and not appear as different properties. <br /> <br />2. Licensee shall maintain the License Area in neat, clean, sound and graffiti-free <br />condition at all times. Licensee shall promptly repair damage to wheelstops, curbs, existing <br />signage, sidewalks, and other fixtures necessary to a public parking lot. Licensee shall maintain <br />the License Area in a functional condition at all times. Licensee is responsible for restriping and <br />pavement work as necessary to maintain the License Area in a functional condition. <br /> <br />3. No trash, refuse, or other materials shall be stored in the License Area or on <br />Licensee's adjacent property so as to be visible from within the License Area. Trash must be <br />properly stored in containers within a closed trash enclosure. <br /> <br />4. The License Area shall at no time be used for storage or placement of any hazardous or <br />toxic material or substance. <br /> <br />5. At no time shall the licensed area be used for display of advertising materials, signs or <br />goods. <br /> <br />B. FEE <br /> <br />1. Licensee shall pay Agency a monthly fee of $1 00 ("License Fee") for the use of the <br />License Area. The entire License Fee is due monthly even if the term does not encompass an <br />entire calendar month. The License Fee may be paid annually, or may be paid monthly at the <br />request of Licensee, which must be made in writing within 30 days of the Effective Date. If <br />payments are to be monthly, until an invoicing procedure is arranged, payment is due by the 15th <br />of each month and will be considered late if received thereafter, subject to late fees. <br /> <br />2. Payment of the License Fee shall be made to the Finance Department, City Hall, 835 <br />East 14th Street, San Leandro, CA 94577. <br /> <br />3. Licensee agrees to pay the License Fee for the period beginning January 2005 in <br />recognition of its use of the property during the negotiation period for this agreement. <br /> <br />4. Every year, a 3% annual increase will apply, effective January 1 st (e.g., $103.00 is due on <br />January 15, 2006). <br /> <br />Union Bank License Agreement <br />Page 8 of 12 <br /> <br />8 <br />
