Exhibit C Performance Guarantee & Performance Assurance A. City Obli atg ions 1. Provide daily average of 134,506 CFD of digester gas as measured by a flow meter, which shall measure the flow and log data at specified intervals; 2. Provide digester gas with lower heating value BTU content of at least b06 BTU/FT3 as determined through lab analysis or meter. B. Siemens Obligations 1. Contractor shall maintain the work in accordance with Exhibit A-2; 2. The total run time of the three individual engines shall be a combined minimum of 24,000 hours annually (baseline production) as logged by onboard hour meters; 3. When an engine is running it will produce electrical energy within the associated generator's normal published operating range as logged by an onboard energy (kWh) meter; 4. Siemens will provide information regarding the system operation in accordance with Exhibit A-3 Measurement and Verification. C. If City does not meet its obli ate ions 1, Baseline production hours will be reduced if the required quantity and/or quality of digester gas is unavailable, as reconciled on an as-needed basis for quality and on a daily basis for quantity; 2. If a generator is not producing electrical energy, a record of the time will be logged, and if the cause is determined to be a lack of quality or quantity of digester gas, the run time hour for that engine will be deducted from the Baseline Production. D. If Siemens does not meet its obli ations 1. If generator is not producing electrical energy, a record of the time will be logged, and if the cause is determined not to be due to Section A of this Exhibit C, the run time hour for that engine will be counted in the Baseline Production and not as a run time hour; 2. A performance reconciliation shall be conducted after each Annual Period. If the aggregate uptime for the three engines is 24,000 hours or more for the Annual Period, Siemens will have met its Performance Guarantee for the year and no shortfall payment shall be due. However, if the aggregate uptime for the three engines is less than 24,000 hours for the Annual Period, Siemens will not have met its Performance Guarantee and a shortfall payment will be owed. Accordingly, Siemens will use the following equation to calculate the payment: Shortfall (Hrs) x Net Coggin Plant Output (kW) x WPCP's most recent Annual Period blended utility rate ($/kWh).
