This Amendment No. 3 to the Agreement for Legal Services is made as of July 1, 2008 by and between Meyers Nave Riback Silver & Wilson, a professional law corporation ("Meyers Nave") and the City of San Leandro, a Charter City and municipal corporation of the State of California ("City"). RECITALS A. On March 3, 1986, City entered into a Professional Services Agreement ("Original Agreement") with Meyers Nave to provide legal services to the City as City Attorney. B. The Original Agreement was amended by Amended Agreement No. 1 dated June 26, 2000; and thereafter by Amendment No. 2 dated July 18, 2005. C. The City and Meyers Nave desire to enter into this Amended Agreement No. 3 to amend certain provisions as incorporated into this Agreement in their entirety, to continue providing legal services to the City in the most efficient and cost effective manner. NOW, THEREFORE, in consideration of the foregoing recitals and the mutual covenants and conditions herein contained and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows: 1. Legal Services to be Provided - "Basic Level of Services" The City hires Meyers Nave to provide legal services as City Attorney. As requested by the City such duties shall include those legal services as set forth in Section 425 of the Charter of the City and as generally understood within the field of municipal law to fall within the category of "city attorney/general counsel services ", including but not necessarily limited to, the following which shall generally be categorized as the "basic level of services", which shall be paid for by a monthly retainer as described in paragraph 5A below: A.. Regular attendance at City Council, study sessions, closed sessions and all meetings necessary to provide basic legal counsel.
