the plans attached hereto as Exhibit "B", including but not limited to: concrete abutment; <br />steel truss superstructure; support brackets for a possible future pipeline; and concrete <br />deck, signage, bollards, and railings that will all be a part of the pedestrian bridge. <br />2. Park Title and Interest: <br />City hereby acknowledges the title of District in and to the Park and agrees never to assail <br />or to resist said title. City agrees that it has not acquired nor will it hereafter acquire any <br />rights or interest in the Park, nor does City have nor will it obtain any right or claim to the <br />use of the Park beyond those specifically granted in this Agreement. <br />3. Term: <br />Unless terminated by mutual consent or for cause as hereinafter set forth, this Agreement <br />to operate and maintain the Bridge to be used by the general public shall be effective for <br />the tenn of the District's ownership of the Park. <br />4. Suspension or Limitation of Use: <br />District or City and their third party permittees shall have the right to suspend or to limit <br />the use of the Bridge by the general public for a reasonable amount of time for protection <br />of public safety, for special events, or for the construction, installation, operation, <br />maintenance or repair of the Bridge or other facilities on the Park. Two weeks notice <br />shall be provided to the respective entity prior to suspension or limitation of use; 24 hours <br />for emergency purposes after consultation. <br />5. Indemnification: <br />City shall indemnify, save, protect, defend and hold harmless District, its board, officers, <br />employees, agents and contractors from and against any and all loss, liability, expense, <br />claims, costs, suits and damages, including attorney's fees, arising out of or connected <br />with the Bridge or its use by any person other than District and District's officers, <br />employees, agents or contractors. <br />District shall indemnify, save, protect, defend and hold harmless City, its council, <br />officers, employees, agents and contractors from and against any and all loss, liability, <br />expense, claims, costs, suits and damages, including attorney's fees, arising out of or <br />connected with use of the Bridge by District or District's officers, employees, agents, <br />volunteers or contractors. <br />Slough Bridge <br />1-21-09 <br />
