A. General Liability Policies and Automobile Liability Coverage. i. The City and its respective officers, officials, employees and volunteers are to be covered as additional insureds with respect to liability arising out of activities performed by or on behalf of the Licensee and premises owned, occupied or used by the Licensee, or automobiles owned, leased, hired or borrowed by Licensee. The coverage shall contain no special limitations on the scope of the protection afforded to the City or its respective officers, officials, employees or volunteers. ii. The Licensee's insurance coverage shall be primary insurance with regard to the City and its respective officers, officials, employees and volunteers. Any insurance or self-insurance maintained by the City or its respective officers, officials, employees or volunteers shall be in excess of Licensee's insurance, and shall not contribute to it. iii. Any failure to comply with reporting provisions of the policies shall not affect coverage provided to the City or its respective officers, officials, employees or volunteers. iv. Licensee's insurance shall apply separately to each insured against whom claim is made or suit is brought, except with respect to the limits of the insurer's liability. B. Workers' Compensation and Employer's Liability Policies. Each policy shall provide that the insurer shall waive all rights of subrogation against the City and its respective officers, officials, employees and volunteers for losses arising in com7ection with the use of the License Area or otherwise in connection with the license granted hereunder. C. All Policies. Each insurance policy required hereunder shall be endorsed to state that coverage shall not be suspended, voided, canceled by either party, reduced in coverage or in limits except after thirty (30) days" prior written notice by certified mail, return receipt requested, has been given to the City. 5. Acceptability of Insurers. Insurance is to be placed with insurers with a Best's rating of no less than A:VII. 6. Verification of Coverage. Prior to the commencement of the teen of this Agreement, Licensee shall furnish City with certificates of insurance and with original endorsements effecting coverage required hereunder. The certificates and endorsements for each insurance policy are to be signed by a person authorized by the insurer to bind coverage on its behalf. The City reserves the right to require complete, certified copies of all required insurance policies at any tune.
