4. Other Insurance Provisions. The policies are to contain or be endorsed to <br />contain, the following provisions: <br />A. General Liability Policies and Automobile Liability Coverage. <br />i. The City, the City and their respective officers, officials, employees <br />and volunteers are to be covered as additional insureds with respect to liability arising <br />out of activities performed by or on behalf of the Licensee and premises owned, <br />occupied or used by the Licensee, or automobiles owned, leased, hired or borrowed by <br />Licensee. The coverage shall contain no special limitations on the scope of the <br />protection afforded to the City, the City or their respective officers, officials, employees <br />or volunteers. <br />ii. The Licensee's insurance coverage shall be primary insurance with <br />regard to the City, the City and their respective officers, officials, employees and <br />volunteers. Any insurance or self-insurance maintained by the City, the City or their <br />respective officers, officials, employees or volunteers shall be excess of Licensee's <br />insurance, and shall not contribute with it. <br />iii. Any failure to comply with reporting provisions of the policies shall <br />not affect coverage provided to the City, the City or their respective officers, officials, <br />employees or volunteers. <br />iv. Licensee's insurance shall apply separately to each insured against <br />whom claim is made or suit is brought, except with respect to the limits of the insurer's <br />liability. <br />B. Workers' Compensation and Employer's Liability Policies. <br />Each policy shall provide that the insurer shall waive all rights of <br />subrogation against the City, the City, and their respective officers, officials, employees <br />and volunteers for losses arising in connection with the use of the License Area or <br />otherwise in connection with the license granted hereunder. <br />C. All Policies. <br />Each insurance policy required hereunder shall be endorsed to state that <br />coverage shall not be suspended, voided, canceled by either party, reduced in coverage <br />or in limits except after thirty (30) days' prior written notice by certified mail, return <br />receipt requested, has been given to the City. <br />5. Acceptability of Insurers. Insurance is to be placed with insurers with a Best's <br />rating of no less than A: VII. <br />12 <br />
