4. Other Insurance Provisions. The policies are to contain or be endorsed to contain, the <br />following provisions: <br />A. General Liability Policies and Automobile Liability Coverage. <br />i. The City, the City and their respective officers, officials, employees and <br />volunteers are to be covered as additional insureds with respect to liability arising out of <br />activities performed by or on behalf of the Licensee and premises owned, occupied or used by <br />the Licensee, or automobiles owned, leased, hired or borrowed by Licensee. The coverage shall <br />contain no special limitations on the scope of the protection afforded to the City, the City or their <br />respective officers, officials, employees or volunteers. <br />ii. The Licensee's insurance coverage shall be primary insurance with regard <br />to the City, the City and their respective officers, officials, employees and volunteers. Any <br />insurance or self-insurance maintained by the City, the City or their respective officers, officials, <br />employees or volunteers shall be excess of Licensee's insurance, and shall not contribute with it. <br />iii. Any failure to comply with reporting provisions of the policies shall not <br />affect coverage provided to the City, the City or their respective officers, officials, employees or <br />volunteers. <br />iv. Licensee's insurance shall apply separately to each insured against whom <br />claim is made or suit is brought, except with respect to the limits of the insurer's liability. <br />B. Workers' Compensation and Employer's Liability Policies. <br />Each policy shall provide that the insurer shall waive all rights of subrogation <br />against the City, the City, and their respective officers, officials, employees and volunteers for <br />losses arising in connection with the use of the License Area or otherwise in connection with the <br />license granted hereunder. <br />C. All Policies. <br />Each insurance policy required hereunder shall be endorsed to state that coverage <br />shall not be suspended, voided, canceled by either party, reduced in coverage or in limits except <br />after thirty (30) days' prior written notice by certified mail, return receipt requested, has been <br />given to the City. <br />5. Acceptability of Insurers. Insurance is to be placed with insurers with a Best's rating <br />of no less than A: VII. <br />6. Verification of Coverage. Prior to the commencement of the term of this agreement, <br />Licensee shall furnish City with certificates of insurance and with original endorsements <br />effecting coverage required hereunder. The certificates and endorsements for each insurance <br />policy are to be signed by a person authorized by the insurer to bind coverage on its behalf. The <br />10 <br />
