employees of entities providing such services to school district must be fingerprinted by <br />the Califon~ia Department of Justice for a criminal records check. <br />SLZUSD expressly acknowledges that: (i) SLZUSD and all of SLZUSD's employees <br />working on the school site must submit or have submitted fingerprints in a manner <br />authorized by the Department of Justice, together with the requisite fees as set forth in <br />Education Code Section 45125. l ; (ii) SLZUSD shall not permit any employee to come in <br />contact with students until the Department of Justice has ascertained that the employee <br />has not been convicted of a serious or violent felony. <br />VIII. LICENSES AND PERMITS: SLZUSD shall obtain and keep in force all licenses, <br />permits, and certificates necessary for the performance of this agreement. <br />IX. ASSIGNMENT: The obligations of SLZUSD under this Agreement shall not be <br />assigned by SLZUSD without the express written consent of CITY. <br />X. INDEMNIFICATION: SLZUSD agrees to hold harmless, indemnify and defend CITY <br />and its off cers, agents and employees from and against any and all claims and losses <br />accruing or resulting from injury, damage or death of any person, firm or corporation in <br />connection with SLZUSD's performance of this Agreement. SLZUSD also agrees to <br />bold harmless, indemnify and defend CITY and its officer's agents, and employees from <br />and against any and all claims or losses incurred by any supplier, contractor or <br />subcontractor fiir~ishing work, services or materials to SLZUSD in connection with <br />SLZUSD°s performance of this Agreement. <br />CITY agrees to hold harmless, indemnify and defend SLZUSD and its officers, agents <br />and employees from and against any and all claims and losses accruing or resulting from <br />injury, damage or death of any person, firm or corporation in connection with CITY's <br />performance of this Agreement. CITY also agrees to hold harmless, indemnify and <br />defend SLZUSD and its officer's, agents, and employees from and against any and all <br />claims or losses incurred by any supplier, contractor or subcontractor furnishing work, <br />services or materials in connection with CITY's performance of this agreement. <br />XI. WAIVER: No delay or omission by either party in exercising any right under this <br />Agreement shall operate as a waiver of that or any other right or prevent a similar <br />subsequent act from constituting a violation of this Agreement. <br />XII. TERMINATION: CITY may at any time terminate this Agreement, for any reason in <br />CITY's sole discretion upon written notice to SLZUSD. In that event, CITY shall <br />compensate SLZUSD for services satisfactorily performed through the date of <br />termination. In addition, CITY may terminate this Agreement for cause should SLZUSD <br />fail to perform any part of this Agreement. <br />In the event of termination, CITY may secure the required services from another. <br />-2- <br />
