For purposes of notice, demand, request, reply or payment, the address of <br />Lessor shall be: <br />City of San Leandro <br />Attn.: City Manager <br />835 E. 14th Street <br />San Leandro CA 94577 <br />Fax: (510) 577-3340 <br />The address of Lessee shall be: <br />American Golf Corporation <br />2951 28th Street, Suite 3000 <br />Santa Monica, California 90405 <br />Attention: Legal Department <br />Fax: (310) 664-6165 <br />Each party shall have the right to designate a different address within the <br />United States of America by the giving of notice in conformity with this Article. <br />25.7 Governing Law; Partial Invalidity. This Lease and the rights and <br />liabilities of the parties to the Lease shall be governed by the laws of the State of <br />California. If any term or provision of this Lease or application of the Lease to any <br />person or circumstance shall to any extent be invalid or unenforceable, the remainder <br />of this Lease, or the application of such term or provision to persons or circumstances <br />other than those as to which it is invalid or unenforceable, shall not be affected by <br />such invalidity or unenforceability, and each term and provision of this Lease shall be <br />valid and be enforced to the fullest extent permitted by law. <br />25.8 Leasehold Mortga~. Lessee shall have the right, at any time, to subject <br />all or a portion of Lessee's leasehold interest under this Lease to one or mare <br />mortgages, deeds of trust or like instruments ("Leasehold Mortgages"), with Lessor's <br />consent, which consent shall not be unreasonably withheld or delayed. At Lessee's <br />request, Lessor shall, at the time Lessor gives any notice, demand or other <br />communication to Lessee under this Lease, give a copy of such notice, demand, or <br />other communication to each leasehold mortgagee under a Leasehold Mortgage at <br />any address which has been previously designated by such leasehold mortgagee by <br />written notice to Lessor. Lessor shall reasonably cooperate with Lessee in connection <br />with Lessee's efforts to obtain one or more Leasehold Mortgages and shall, among <br />other things, execute such documents as are usual and customary in connection with <br />LEASE AGREEMENT BETWEEN <br />CITY OF 5AN LEANDRO AND AMERICAN GOLF PAGE 34 <br />11/13/97 ~INAL J:\~'PD~CSL~136~OlWGREE~GOLFCOi1R~P.GREE~LEASE.CLN <br />
