Notwithstanding the parties' recognition that services provided pursuant to this <br />Agreement may benefit members of the public, and except for all other Members of the <br />Consortium, there are no third-party beneficiaries to this Agreement. <br />Section 5.6 Amendments. <br />(a) No amendment or modification to this Agreement is valid unless <br />made in writing and approved and signed by the parties. <br />(b) Notwithstanding subsection (a) above, should it become necessary <br />to change the language of this Agreement to obtain HUD approval, without making major <br />changes and without altering the intent of this Agreement, such changes maybe made <br />administratively with the written consent of both the City Manager of the City, on behalf <br />of the City, and the Housing Director of the Alameda County Housing and Community <br />Development Department, on behalf of the Lead Member. <br />[THE REMAIIVDER OF THIS PAGE IS INTENTIONALLY BLANK] <br />Alameda County and City of San Leandro 11 <br />
