CDBG, and the Grant Application, as defined below (together, the "NSP2 <br />Requirements"). <br />F. In conformance with the NSP2 Requirements, by December 1, 2009, the Lead <br />Member is required to enter into a separate agreement with each Member that sets out (i) <br />the responsibilities of the Member under the NSP2 Program, (ii) the manner in which <br />NSP2 funds are to be allocated to the Member, (3) timetables within which the Member's <br />activities are to be completed, and (4) the Member's obligation to comply with applicable <br />NSP2 Requirements. This Agreement is intended to satisfy that NSP2 Requirement with <br />respect to the City. Contemporaneously with the execution of this Agreement, the Lead <br />Member is entering into substantially similar agreements with the other Members. <br />G. Pursuant to the Consortium Agreement, the County, as Lead Member, is obligated <br />to form a steering committee, consisting of one representative from each Member (the <br />"Steering Committee"). The purpose of the Steering Committee is to enable the <br />Members to cooperatively carry out the NSP2 Program and to facilitate the commitment <br />of Consortium Funds (as defined below) in a timely manner. The Members intend to <br />cause the Steering Committee to meet at least once per month during the first year <br />following the HUD Award Date (as defined below), and quarterly thereafter. <br />H. The Parties acknowledge that if Consortium Funds are not awarded by HUD, this <br />Agreement will be terminated and will have no force or effect. <br />In consideration of the mutual promises and agreements set forth below, the <br />parties agree as follows: <br />ARTICLE 1. <br />DEFINITIONS AND EXHIBITS <br />Section 1.1 Definitions. <br />The following capitalized terms have the following meanings: <br />(a) "ARRA" has the meaning given in Recital A. <br />(b) "Agreement" means this Consortium funding agreement <br />(c) "CDBG" has the meaning given in Recital A. <br />(d) "City" means the City of San Leandro. <br />(e) "Consortium" has the meaning given m Recital C. <br />(f) "Consortium Agreement" has the meaning given in Recital C. <br />(g) "Consortium Funds" means NSP2 funds granted to the Consortium <br />by HUD. <br />Alameda County and City of San Leandro 2 <br />
