B. Agency Responsibilities <br />The Agency will convey the Site to the Developer under terms and conditions acceptable to the <br />Agency that will be documented in a DDA. Specific terms and conditions stated in the Agreement <br />include: <br />The Agency will sell the Corporation Yard site ("Site") to the Developer for <br />$2,265,120, all cash payable at the close of escrow. <br />2. The Agency will use best efforts to expedite City permit processing for the <br />Minimum Project. <br />3. The Agency will be required to approve every aspect of architectural design, site <br />development, signage, and creek enhancements. Other City approvals required <br />include approvals from the City Traffic Administrator and Engineering <br />Department, and Alameda County Fire Department. <br />4. The Agency will complete an environmental review as required by CEQA prior to <br />execution of the DDA. <br />C. Developer Responsibilities <br />As a condition precedent to the Agency obligation to sell and convey the Site to the Developer, the <br />Developer shall: <br />Submit to the Agency a Final Development Plan and Preliminary Pro Forma for <br />the Minimum Project, substantially consistent with the Development Concept <br />Plan and the Redevelopment Plan. <br />2. Submit to the Agency construction plans for the Minimum Project based upon the <br />Final Development Plan. <br />3. Submit to the Agency plans for financing the acquisition of the Site and <br />construction of the Minimum Project. <br />4. Submit to the Agency two executed office space leases, each of which shall be for <br />terms of occupancy of not less than five years, for rentable areas totaling not less <br />than 90,000 sq.ft. combined. <br />5.
