AGREEMENT This Cooperative Agreement for Ownership, Operation and Maintenance of SMART Corridors ( "Agreement ") is entered into as of the last date set forth on the signature page hereto (the "Effective Date ") by and between the Alameda County Congestion Management Agency ( "CMA ") and the following participating Governmental Entities ( "Participating Agencies "): Contra Costa Transportation Authority(CCTA) City of Albany City of Berkeley City of El Cerrito Contra Costa County City of Emeryville Alameda County City of Hayward City of Hercules Metropolitan Transportation Commission (MTC) City of Oakland City of Pinole California Department of Transportation, District 4 City of Richmond City of San Leandro Alameda- Contra Costa Transit District City of San Pablo Western Contra Costa Transit Authority City of Union City CMA and Participating Agencies are sometimes referred to herein individually as a "Participating Agency," "Party," and collectively as the "Parties ". RECITALS: A. The Parties desire to respectively own and cooperatively operate and maintain certain street and highway improvements and ATMS equipment designated as the San Pablo Avenue SMART Corridor ( "San Pablo Project ") and the 1 -880 SMART Corridor ( "1 -880 Project ") pursuant to Streets and Highways Code Section 130; B. The improvements and equipment have been, or will be installed by the Parties enabling the effective management of traffic congestion and the improvement of throughput of people on San Pablo Avenue within the jurisdictions of the San Pablo Avenue SMART Corridor Cities commencing in the South at 17 Street in Downtown Oakland and terminating in the North at State Route 4 in the City of Hercules or as depicted in the San Pablo Project map attached as Exhibit A and incorporated by reference herein; Smart OM - Version 2
