C. The improvements and equipment have been, or will be installed by the Parties <br /> permitting the effective management of traffic congestion within the jurisdictions of the I -880 <br /> SMART Corridor Cities commencing in the North at 14 Street and in West Oakland <br /> and terminating in the South at the intersection of Union City Boulevard and Lowry Road in <br /> Union City or as depicted in the I -880 Project map attached as Exhibit B, and incorporated by <br /> reference herein; <br /> D. The San Pablo Avenue SMART Corridor Cities, AC Transit, Caltrans, CCTA, <br /> Conta Costa County, MTC and CMA have entered into a Memorandum of Understanding <br /> concerning their participation in the San Pablo Project, a true and correct copy of which is <br /> attached as Exhibit C and incorporated by reference herein; <br /> E. The 1 -880 SMART Corridor Cities, AC Transit, Caltrans, Alameda County, MTC <br /> and CMA have entered into a Memorandum of Understanding concerning their participation in <br /> the I -880 Project, a true and correct copy of which is attached as Exhibit D and incorporated by <br /> reference herein; <br /> F. Certain Parties have, or will have, executed Cooperative Agreements for the <br /> design, construction, installation and integration of the Project Components; and <br /> G. The Parties desire to enter into this Agreement to set forth their respective rights, <br /> duties and obligations with regard to the ownership, operation and maintenance of the Project <br /> Components. <br /> NOW, THEREFORE, in consideration of the mutual agreement, covenants and <br /> conditions set forth in this Agreement, and upon the terms and subject to the conditions set forth <br /> herein, the Parties agree as follows: <br /> Smart OM - Version 2 -3- <br />
