Schedule 1.1 <br /> Definitions _ <br /> "Alameda County" means Alameda County, a political subdivision of the State of <br /> California. <br /> "AC Transit" means the Alameda —Contra Costa Transit District. <br /> "Affiliate(s)" of a person means any other person(s), including any parent agency or <br /> company of such person(s), that (a) directly or indirectly controls the specified person(s); (b) is <br /> controlled by or is under direct or indirect common control with the specified person(s); or (c) is <br /> an officer, director, board member, commissioner, employee, representative, agent, consultant, <br /> contractor, trustee or subsidiary of the person(s). <br /> "ATMS" means Advanced Transportation Management System. <br /> "ATMS Components" means the ATMS Server, ATMS Workstations, ATMS Software, <br /> CCTV, DMS, Network Equipment, and Trailblazer Signs. <br /> "ATMS Server(s)" shall mean a regional hub server (CPU) for traffic management. It <br /> contains the central system software that runs the system, as well as the software that provides <br /> for system functionality. The ATMS Server collects, receives, and processes information, and <br /> initiates operational functions. <br /> "ATMS Workstation(s)" means computers (CPUs) allowing operators in Member <br /> agencies to monitor conditions and implement field device control strategies. <br /> "ATMS Software" means the central control and processing of ATMS functions, <br /> including driver software for data collection and data dissemination devices, and Internet and <br /> web interfaces. <br /> "AVL" means automatic vehicle location. <br /> "Best Efforts" means such reasonable efforts that a Governmental Entity desiring to <br /> achieve a particular result would use in order to expeditiously achieve the desired result without <br /> purporting to control the exercise of discretion by the board, commission or council of such <br /> Governmental Entity. An obligation to use Best Efforts does not require the Party subject to that <br /> obligation to expend funds or take actions that would result in a materially adverse change in the <br /> benefits to such Person under this Agreement, and the transactions contemplated hereby. <br /> "Caltrans" means the State of California Department of Transportation, District 4. <br /> "CCTA" means Contra Costa Transportation Authority, a local transportation authority <br /> created and administered pursuant to Division 19 of the California Public Utilities Code and the <br /> Smart OM - Version 2 -24- <br />
