congestion management agency for Contra Costa County pursuant to Government Code Section <br /> 65088 et seq. <br /> "Claim" means any expense, cost (including reasonable attorney's fees and costs), <br /> damages or liability imposed for injury as defined by Government Code Section 810.8 <br /> "Closed- circuit television (CCTV)" means camera devices mounted on traffic signal <br /> poles and standards used for monitoring of the roadway conditions. <br /> "CMA Components" means the ATMS Server and the ATMS Server Software to be <br /> owned, maintained or operated by CMA. <br /> "Components" means the Traffic Signals, Controllers, Master Controllers, Interconnect <br /> Systems, Leased Communication Lines and Equipment, ATMS Workstations, CCTV, DMSs, <br /> Emergency Vehicle Pre - emption Emitter Units, Emergency Vehicle Pre - emption and Transit <br /> Priority Detector and Discriminator Units, Network Equipment, VDSs, Trailblazer Signs, Transit <br /> Vehicle Emitter Units, Transit Vehicle Automatic Passenger Counters, EPS, AVL, Transit Fleet <br /> Management System. <br /> "Conta Costa County" means Contra Costa County, a political subdivision of the State <br /> of California. <br /> "Controller(s)" means a microprocessor -based component that is used to control the <br /> traffic signal operation. <br /> "Data" means representation of facts, concepts, or instructions in a formalized manner <br /> suitable for communication, interpretation, or processing by humans or by automatic means <br /> including collections of information, facts and events intended to be organized and used to <br /> present information in a usable form. <br /> "Database" means a set or formally structured collection of Data that is required for a <br /> specific purpose or is fundamental to the operations of the Project and consisting of one or more <br /> Data banks. <br /> "Designated Representative" shall mean any authorized contractor, agent or consultant <br /> appointed by a Party (with satisfactory proof of appointment provided) with full authority to act <br /> on behalf of such Party for the purposes of this Agreement. <br /> "Discretion" means discretion, which may be exercised in an arbitrary manner and, <br /> subject to applicable law, not subject to justification or dispute resolution. <br /> "Dynamic Message Sign(s) (DMS)" means signs that display real -time messages to the <br /> motorists. <br /> "Emergency Vehicle Preemption Emitter Unit(s)" means a device located on -board an <br /> emergency vehicle that sends a signal to a preemption sensor on a traffic control signal. <br /> Smart OM - Version 2 -25- <br />
