"Introductory Paragraph" shall mean the paragraphs of this Agreement preceding the <br /> Recitals. <br /> "ISC" means the 1 -880 Steering Committee. <br /> "ITWG" means the I -880 SMART Corridor Technical Working Group. <br /> "Launch Date" shall mean the first date on which the Project is fully operational <br /> following the completion of the design, construction, installation and integration of the <br /> Components. <br /> "Leased Communication Lines and Equipment" means communication infrastructure <br /> leased from a utility company (i.e., local phone, telecommunication provider or any other entity) <br /> to provide communications between the ATMS Server, and ATMS Workstation, SMART <br /> Corridor field devices and ATMS Server, the ATMS Server and Internet and web access devices. <br /> Leased lines include phone drop, leased phone lines, digital subscription lines, fiber, twisted - <br /> wire pair, spread spectrum communications, microwave, or any other communication medium. <br /> "Master Controller(s)" means a device that communicates with multiple controllers in a <br /> system to provide for coordinated signal operation. Master controllers are located either in the <br /> field or in the central office. <br /> "MTC" means the Metropolitan Transportation Commission, the San Francisco Bay <br /> Area Regional Transportation Planning Agency. <br /> "Network Equipment" means the family of hardware, software, and communications <br /> modems to interconnect the field and central system infrastructure. <br /> "O &M Manual" means the operation and maintenance manuals to be prepared and <br /> delivered pursuant to Section 3.8 of this Agreement. <br /> "Party" or "Parties" shall have the meaning set forth in the Introductory Paragraph. <br /> "Project" means the I -880 Project and the San Pablo Project, collectively. <br /> "Project Documents" shall have the meaning set forth in Section 1.2. <br /> "San Pablo Project" shall have the meaning set forth in Recital A. <br /> "San Pablo SMART Corridor" shall have the meaning set forth in Recital B. <br /> "San Pablo SMART Corridor Cities" means the cities of Albany, Berkeley, El Cerrito, <br /> Emeryville, Hercules, Oakland, Pinole, Richmond and San Pablo. <br /> "STAC" means the SMART Corridor Technical Advisory Committee for the Project. <br /> "Software" means computer software consisting of the instructions, or programs, that are <br /> executed by a computer including the ATMS Software. <br /> Smart OM - Version 2 -27- <br />
