3.2 Designated Representative(s). <br /> Each of the Parties may, in its Discretion, appoint a Designated Representative <br /> who shall have full power and authority to act on its behalf in connection with the performance <br /> of its respective contractual obligations under this Agreement. Upon the appointment of any <br /> Designated Representative, the appointing Participating Agency shall promptly inform the CMA <br /> in writing of its selection of the Designated Representative, or any change in the identity or <br /> respective duties of its Designated Representative. The appointment of a Designated <br /> Representative by any Party shall not relieve such Party from its obligations under this <br /> Agreement. <br /> 3.3 Policy Advisory /Oversight Committees. <br /> 3.3.1 The San Pablo Avenue SMART Corridor Policy Advisory Committee <br /> ( "SPPAC ") shall be responsible for oversight of CMA's daily operation of the San Pablo Project. <br /> Each of the San Pablo SMART Corridor Cities, CMA, MTC, AC Transit, WestCAT, Caltrans, <br /> Contra Costa County and CCTA shill be entitled to representation on the SPPAC and shall fully <br /> participate in the performance of its functions. The SPPAC shall have general decision - making <br /> authority and shall be primarily responsible for the formulation of policies concerning the <br /> ongoing operation of the San Pablo Project. The internal governance policies and procedures of <br /> the SPPAC shall be determined by the SPPAC in conformity with CMA Resolution No. , <br /> dated <br /> 3.3.2. The I -880 Steering Committee ( "ISC ") shall be responsible for oversight <br /> of CMA's daily operation of the I -880 Project. Each of the I -880 SMART Corridor Cities, <br /> Alameda County, AC Transit, Union City Transit, Caltrans, MTC and CMA shall be entitled to <br /> representation on the ISC and shall fully participate in the performance of its functions. The ISC <br /> shall have general decision - making authority and shall be primarily responsible for the <br /> formulation of policies concerning the ongoing operation of the 1 -880 Project. The internal <br /> governance policies and procedures of the ISC shall be determined by the ISC in conformity <br /> with CMA Resolution No. , dated <br /> Smart OM - Version 2 -6- <br />
