MTC and CMA shall be entitled to participate in the selection of the composition of the ITWG, • <br /> • <br /> and to participate in its functions. <br /> 3.8 O &M Manual. <br /> The O&M Manual is intended to provide a comprehensive reference source <br /> concerning the daily operation and allocation of Component resources, and the Parties' <br /> respective maintenance and repair duties and obligations. The O&M Manual shall establish <br /> standard operating policies and procedures for the Project with respect to: day -to -day operations; <br /> coordinated signal timing; incident detection, management and response; maintenance schedules; <br /> transit signal priority; transit and traveler information and any other topics necessary for the <br /> ongoing operation and maintenance of the Project Components. <br /> 3.9 Cooperation. <br /> The Parties agree to use their Best Efforts to cooperate in the operation of the <br /> Project, agree to diligently participate in any and all efforts to obtain ongoing funding for the <br /> Project, or obtain Governmental Approvals, and in the selection of contractors, consultants and <br /> agents. The Parties further agree and acknowledge that the success of the Project is contingent <br /> upon the Parties ability to work together effectively to achieve the congestion relief and travel <br /> improvement goals of the Project. <br /> ARTICLE IV <br /> OWNERSHIP AND MAINTENANCE <br /> 4.1 Ownership of Project Components. <br /> Each Participating Agency shall own all Components constructed, installed or <br /> integrated within its respective jurisdiction and rights -of way, or otherwise installed in, or upon <br /> such, Participating Agency's real or personal property other than CMA Components. CMA shall <br /> be responsible for the ownership, operation, maintenance and repair of all CMA Components. <br /> Smart OM - Version 2 -9- <br />
