• • <br /> Section 65865.1 that upon the basis of substantial evidence UACI has <br /> not complied in good faith with the terms or conditions of this <br /> Agreement. <br /> (3) assignment of this Agreement or rights hereunder in <br /> violation of Section 500 hereof. <br /> D. [ §404] Termination By Invalidity <br /> This Agreement is terminated without liability as to either party <br /> upon determination by a court of competent jursidiction that the <br /> actions or forebearances of City hereunder are ultra vires. This <br /> . Agreement is entered. into in reliance upon the parties mutual <br /> determination that the statute authorizing this Agreement is valid. <br /> Nothing herein is intended to waive or extend any statute of <br /> limitation applicable to a proceeding to invalidate this Agreement. <br /> V [ §500] ASSIGNMENT <br /> This Agreement shall be binding upon, and shall inure to the <br /> benefit of, the successors and assigns of the parties hereto. The <br /> rights of UACI pursuant to this Agreement shall be assignable by UACI <br /> with the express written consent of the City, which consent shall not <br /> be unreasonably withheld. The City shall be entitled, however, to <br /> consider only the financial resources and business reputation of any <br /> proposed assignee in determining whether or not to grant such consent. <br /> Notwithstanding any other provision hereof, UACI reserves the <br /> right at its discretion, without prior City approval, to join and <br /> associate with other entities in joint ventures, partnerships or <br /> UACI Dev.
