• • <br /> otherwise for the purpose of developing all or any of the Subject <br /> Property provided, however, that (1) the City shall be promptly <br /> notified of all such additional parties, (2) such additional parties <br /> shall acknowledge to the City in writing that they assume and are <br /> bound by (to the extent of their general or limited participation with <br /> UACI) the terms of this Agreement, and (3) UACI shall remain fully <br /> responsible to the City as provided in this Agreement. <br /> VI [ §600] GENERAL'PROVISIONS <br /> A. [ §601] Amendments <br /> This Agreement is not subject to modification or amendment except <br /> by a writing executed by both UACI and the City, which writing shall <br /> expressly state that it is intended by the parties to amend the terms <br /> and conditions of this Agreement. <br /> B. [ §602] Changes In Law <br /> In the event that state or federal laws or regulations, enacted <br /> before or after the date of this Agreement, prevent or preclude <br /> compliance with one or more of the provisions of this Agreement, such <br /> provisions shall be deemed modified or suspended by the consent of the <br /> parties to the extent, and only to the extent, neessary to comply with <br /> such state or federal laws or regulations. <br /> C. [ §603] Binding Effect <br /> UACI and the City each hereby acknowledge: that this Agreement <br /> is intended to, and will, induce action or forebearance of a definite <br /> and substantial character on the part of the other, including, but not <br /> UACI Dev.
