City of San Leandro <br /> Agreement No.: 11- 806 -550 <br /> Project No.: C -06- 7002 -110 <br /> 5.19 Permits, Subcontracting, Remedies and Debarment. <br /> The Recipient shall procure all permits and licenses necessary to accomplish the work <br /> contemplated in this Agreement, pay all charges and fees, and give all notices necessary and <br /> incidental to the due and lawful prosecution of the work. Signed copies of any such permits or <br /> licenses shall be submitted to the Division before construction begins. <br /> Any subcontractors, outside associates, or consultants required by the Recipient in connection <br /> with the services covered by this Agreement shall be limited to such individuals or firms as were <br /> specifically identified and agreed to during negotiations for this Agreement, or as are specifically <br /> authorized by the State Water Board's. Project Representative during the performance of this <br /> Agreement. Any substitutions in, or additions to, such subcontractors, associates, or consultants, <br /> shall be subject to the prior written approval of the State Water Board's Project Representative. <br /> The Recipient shall not subcontract with any party who is debarred or suspended or otherwise <br /> excluded from or ineligible for participation in federal assistance programs under Executive Order <br /> 12549, "Debarment and Suspension ". The Recipient shall not subcontract with any individual or <br /> organization on USEPA's List of Violating Facilities. (40 CFR, Part 31.35, Gov. Code 4477) <br /> The Recipient certifies to the best of its knowledge and belief, that it and its principals: <br /> (a) Are not presently debarred, suspended, proposed for debarment, declared ineligible, or <br /> voluntarily excluded by any federal department or agency; <br /> (b) Have not within a three (3) year period preceding this Agreement been convicted of or had a <br /> civil judgment rendered against them for commission of fraud or a criminal offense in <br /> connection with obtaining, attempting to obtain, or performing a public (federal, state or local) <br /> transaction or contract under a public transaction; violation of federal or state antitrust statutes <br /> or commission of embezzlement, theft, forgery, bribery, falsification or destruction of records, <br /> making false statements, or receiving stolen property; <br /> (c) Are not presently indicted for or otherwise criminally or civilly charged by a governmental entity <br /> (federal, state or local) with commission of any of the offenses enumerated in paragraph (b) of <br /> this certification; and <br /> • (d) Have not within a three (3) year period preceding this application /proposal had one or more <br /> public transactions (federal, state or local) terminated for cause or default. <br /> 5.20 Recipient's Responsibility for Work. <br /> The Recipient shall be responsible for all work and for persons or entities engaged in work <br /> • performed pursuant to this Agreement, including, but not limited to, contractors, subcontractors, <br /> suppliers, and providers of services. The Recipient shall be responsible for any and all disputes <br /> arising out of its contracts for work on the Project. The State Water Board will not mediate <br /> disputes between the Recipient and any other entity concerning responsibility for performance of <br /> work. <br /> • <br /> 5.21 Related Litigation. <br /> Under no circumstances may a Recipient use funds from any disbursement under this Agreement <br /> to pay costs associated with any litigation the Recipient pursues against the State Water Board or <br /> any Regional Water Board. Regardless of the outcome of any such litigation, and notwithstanding <br /> any conflicting language in this Agreement, the Recipient agrees to complete the Project funded <br /> by this Agreement or to repay all of the disbursed funds plus interest. <br /> 23 <br />
