(d) This agreement to indemnify and hold harmless, and the covenants to protect and <br />defend, as described above, shall survive the termination of this Lease and shall <br />inure to the benefit of and be binding upon the respective successors and assigns <br />of Lessor and Lessee. <br />(e) Notwithstanding anything to the contrary that may be contained herein or in the <br />Original Lease, Lessee shall have no liability of any kind to Lessor as to <br />hazardous substances on the Leased Premises, used or stored, caused, controlled, <br />managed or permitted by: (i) Lessor, its agents, employees, contractors, invitees <br />or other tenants; or (ii) any person or entity located outside of the Leased <br />Premises (including, without limitation, the migration or leaching of hazardous <br />substances from outside the Leased Premises on or onto the Leased Premises); or <br />(iii) prior to Lessee's occupancy of the Leased Premises or subsequent to Lessee's <br />vacating the Leased Premises. <br />1574412.1 <br />12 <br />
