EMERGENCY MEDICAL SERVICES FIRST RESPONDER ADVANCED LIFE SUPPORT AGREEMENT (11/1/2011) <br /> c. Contractor's failure to reply to such notices or to provide a written plan within the <br /> required time is a material breach of this Agreement. <br /> 16.7 Mutual Termination -This Agreement may be terminated early by mutual consent of the <br /> Contractor and the County. <br /> 16.8 Termination for Cause <br /> a. If Contractor fails to cure any material breach, following notice and opportunity to cure, <br /> County, upon written notice to Contractor, may terminate this Agreement for cause. The <br /> termination shall be effective on the date specified in the written notice. <br /> b. Contractor shall be responsible for all costs incurred by County due to termination for <br /> cause. <br /> ' SECTION 17 - GENERAL PROVISIONS <br /> 17.1 Permits and License <br /> a. Contractor shall be responsible for and shall hold any and all required Federal, State or <br /> local permits or licenses required to perform its obligations under the Agreement. <br /> b. It shall be entirely the responsibility of Contractor to schedule and coordinate all <br /> applications and application renewals as necessary to ensure that Contractor is meeting <br /> its obligation under the Agreement and is in complete compliance with Federal, State <br /> and local requirements for permits and licenses as necessary to provide the services. <br /> c. Contractor shall be responsible for ensuring that its employee's State and local <br /> certifications as necessary to provide the services, if applicable, are valid and current at <br /> all times. <br /> 17.2 Observation and Inspections <br /> a. County representatives may at any time directly observe Contractor's operations at the <br /> Dispatch Center or Fire Stations that house FRALS units. Prior to any inspection the <br /> County shall notify the on -duty Battalion Chief at least 1 how-in advance. <br /> b. A County representative may schedule a ride - alongor ride as "third person" on any of <br /> Contractor's units at any time, provided that in exercising this right to inspection and <br /> observation, County representatives shall conduct themselves in a professional and <br /> courteous manner, shall not interfere with Contractor employee's duties, and shall at all <br /> times be respectful of Contractor's employer /employee relationships. <br /> c. At any time during normal business hours and as often as may be reasonably deemed <br /> necessary by the County, County representatives may observe Contractor's office <br /> Page 17 of 26 <br />
