EMERGENCY MEDICAL SERVICES FIRST RESPONDER ADVANCED LIFE SUPPORT AGREEMENT (11/1/2011) <br /> 17.10 Documents and Materials <br /> a. Contractor shall maintain and make available to County for its inspection and use during • <br /> the term of this Agreement all EMS related Documents and Materials. This duty shall <br /> continue for three (3) years following termination or expiration of this Agreement. <br /> Contractor shall not dispose of, destroy, alter, or mutilate such Documents and Materials, <br /> for three (3) years following termination or expiration of this Agreement. <br /> b. Retention of Records - Contractor shall retain all documents pertaining to the Agreement <br /> including patient care records, as required by Federal and State laws and regulations, <br /> and no Tess than seven (7) years from the end of the fiscal year following termination or <br /> expiration of this Agreement. In addition, patient care records for minors shall be <br /> retained for a minimum of seven (7) years and /or until the minor turns age 18 plus one <br /> year. Upon request, and except as otherwise restricted by law, Contractor shall make <br /> these records available to authorized representatives of the County, the State of <br /> California, and the Federal government. <br /> c. Time of Essence - Time is of the essence in respect to all provisions of this Agreement • <br /> that specify a time for performance. This requirement shall not be construed to limit or <br /> deprive a party of the benefits of any grace or use period allowed by this Agreement. <br /> 17.11 Notices <br /> a. All notices, requests, demands, or other communications under this Agreement shall be <br /> in writing. Notices shall be given for all purposes as follows: <br /> b. Personal Delivery: When personally delivered to the recipient, notices are effective on <br /> delivery. <br /> c. Certified Mail: When mailed certified mail, return receipt requested, notice is effective <br /> on receipt, if delivery is confirmed by a return receipt. <br /> d. Overnight Delivery: When delivered by overnight delivery (e.g., Federal <br /> Express /Airborne /United Parcel Service /DHL Worldwide Express) with charges <br /> prepaid or charged to the sender's account, notice is effective on delivery, if delivery is <br /> confirmed by the delivery service. <br /> e. Facsimile Transmission: When sent by facsimile to the last facsimile number of the <br /> recipient known to the party giving notice, notice is effective on receipt, provided that: a) <br /> a duplicate copy of the notice is promptly given by first -class or certified mail or by <br /> overnight delivery, or b) the receiving party delivers a written confirmation of receipt. <br /> Page 21 of 26 <br />
