• <br /> Section 11. PERSONNEL: <br /> a. County shall unconditionally offer employment to the persons in <br /> such classifications listed in Exhibit "D" for the ACFD, under the terms and conditions <br /> specified in Exhibit "D" to this Agreement, effective 12:00 a.m., July 1, 1995. <br /> b. Public Employees' Retirement System ( "PERS ") contributions by the <br /> City and County will be made under the terms and conditions specified in Exhibit "E" <br /> of this Agreement beginning July 1, 1995. <br /> c. On and after July 1, 1995, City shall not be liable for the payment <br /> of any wages, benefits or other compensation to any officer, employee, or agent of <br /> County performing any services under this Agreement, and the Charter of the City, the <br /> Municipal Code and administrative rules, regulations and practices of the City or its <br /> constituent departments, shall have no further force and effect with respect to any <br /> former officer or employee of the City. This Agreement shall represent the sole <br /> expression of the legal relationship between the City and its former employees and <br /> officers. <br /> Section 12. INDEMNIFICATION: <br /> a. Except as otherwise specifically provided in this Agreement, or any <br /> attachment hereto, County shall defend, indemnify and hold harmless City, its elected <br /> and appointed officials, officers and employees free and harmless from any and all claims <br /> FIRE PROTECTION AND EMERGENCY <br /> MEDICAL SERVICES AGREEMENT Page 14 of 21 <br /> - - - 18 <br />
