° `Pnocdremuu Division California Department of General Services <br /> Disabled Veteran Business Enterprise Participation Program Attachment 1 <br /> USE OF PROPOSED DVBE(s) AND SUBSTITUTION RESTRICTIONS <br /> If your firm is awarded a contract resulting from this solicitation,whether you documented full or <br /> partial goal attainment in your response to this solicitation,your firm will be required to use the <br /> DVBE subcontractor(s)/supplier(s) proposed in your response to this solicitation. You may, <br /> however, with the prior approval of the Contracting Official, substitute the DVBE(s) you <br /> identified in your response to this solicitation under the following conditions: <br /> 1. Before your firm may substitute any DVBE you identified as a subcontractor/supplier in <br /> your response to this solicitation, you must provide prior written notice of the proposed <br /> substitution to the responsible Contracting Official. As a minimum, the request must <br /> include: <br /> • The identity of the firm(s)or person(s)being substituted;and <br /> • A written explanation of the reason(s)for the substitution. <br /> 2. The request must be approved by the responsible Contracting Official <br /> The request and the Contracting Official's approval or disapproval are not to be construed <br /> as an excuse for non-compliance with any other provisions of law, including but not limited <br /> to the "Subletting and Subcontracting Fair Practices Act" or any other contract require- <br /> ments relating to substitution of subcontractors and/or suppliers. <br /> Should your firm receive any contract resulting from this solicitation,failure of your firm to <br /> adhere to at least the DVBE participation goal your firm proposes in response to this <br /> solicitation may be cause for contract termination and recovery of damages in accordance <br /> with the applicable provisions of any contract that may result from this solicitation, and in <br /> accordance with applicable laws and/or regulations. <br /> CONTRACT AUDITS <br /> You agree that. should your firm be awarded any contract that results from this solicitation, the <br /> State of California or its delegate will have the right to review, obtain and copy all records <br /> pertaining to your firm's performance of the contract. including, but not limited to, reports of <br /> payments made to your firm's subcontractors/suppliers during the term of the contract. You agree <br /> to provide the State of California or its delegate any relevant information requested and shall, <br /> upon reasonable notice. permit the State of California or its delegate access to your firm's <br /> premises during normal business hours for the purpose of interviewing your firm's employees and <br /> inspecting and copying such books. records,accounts and other material that may be relevant to a <br /> matter under investigation for the purpose of determining compliance with the requirements set <br /> forth in this Attachment 1. You further agree to maintain such records for a period of three(3) <br /> years after final payment under any contract that may result from this solicitation. <br /> March 1998 99 7 <br />
