1 2. Other members of the legislative body of the Agency present in a <br /> 2 closed session of that Agency. <br /> 3 3. Any designated alternate member of the Commission who is also <br /> 4 a member of the legislative body of a member Agency and who is <br /> 5 attending a properly noticed meeting of the Authority in lieu of a <br /> 6 local agency member's regularly appointed member to attend <br /> 7 closed sessions of the joint powers agency. <br /> 8 The Authority, upon the advice of its legal counsel, may conduct a closed <br /> 9 session in order to receive, discuss, and take action concerning information <br /> 10 obtained in a closed session pursuant to paragraph (1) of subdivision (a) of <br /> 11 section 54956.96 of the Brown Act. <br /> 12 (4M Minutes <br /> 13 The Manager shall cause minutes of all meetings of the Commission to be kept <br /> 14 and shall, as soon as possible after each meeting, cause a copy of the minutes to be <br /> 15 forwarded to each member of the Commission and to each Agency. <br /> 16 <br /> (ef) Quorum <br /> 17 <br /> A majority of the members of the Commission shall constitute a quorum for the <br /> 18 <br /> transaction of business, except that less than a quorum may adjourn from time to time. <br /> 19 <br /> 20 (fg) Budget <br /> 21 The Commission shall adopt an Annual Budget for the ensuing Fiscal Year prior <br /> 22 to June 1 of each year. The Budget shall include sufficient detail to constitute a fiscal <br /> 23 control guideline, specify cash flow requirements from each Agency, grant <br /> 24 <br /> reimbursements, and cash receipts and expenditures to be made for PrejeGt Gests <br /> ' <br /> 25 Operation and Maintenance Costs, Administration Costs During GenstruGtien and <br /> 26 Planning and Special Studies Costs for the Joint Facilities and any authorized Sole-Use <br /> 27 Facilities. Approval of the Budget by the Commission shall constitute authority for the <br /> 28 Manager to bill the Agencies for their contributions, expend funds after appropriate <br /> 29 award of contract and for the purposes outlined in the approved Budget and receive <br /> 30 State and Federal grant funds.
