' • <br /> insurance policies shall have been determined to be applicable to any of such damages or <br /> claims for damages. <br /> I. [Section 310] Public Liability Coverage and Certificate of Insurance <br /> Participant shall obtain, and shall file with the Agency, certificates of insurance <br /> evidencing public liability coverage in such amounts and including such endorsements as <br /> specified by the Agency and naming Agency, its officers, agents and employees as additional <br /> insured. Said filing shall be accomplished by Participant prior to issuance of any permits by <br /> Agency or city for improvements to the Site and Development. The certificates shall reflect <br /> compliance with the amount and endorsements in Attachment 1, which is attached hereto and <br /> incorporated herein by this reference. <br /> J. [Section 311] Certificate of Insurance -- Issuance of Permits <br /> Agency or representative of Agency shall not authorize the issuance of any permits for <br /> the improvement work set forth in this Agreement unless and until said insurance coverage is <br /> deemed adequate by Agency Counsel. <br /> K. [Section 312] Successors and Assigns <br /> This Agreement shall inure to the benefit of each parties successors and assigns. <br /> IV. [Section 400] SECURITIES <br /> If Participant obtains a contractor's performance bond for any improvements required <br /> herein, Participant shall provide a copy thereof to Agency prior to commencement of work. <br /> Participant agrees that in the event of failure by any contractor to complete all work as provided <br /> for herein, Participant shall fully and expeditiously pursue the enforcement of all provisions of <br /> said performance bond. <br /> V. [Section 500] NOTICES <br /> A. Participant agrees that any written notice sent to it at Ford Leasing Development <br /> Company, One Parkland Boulevard, Suite 1500 East, Dearborn, Michigan 48126, <br /> Attn: General Counsel shall constitute sufficient notice under the terms of this <br /> Agreement. <br /> B. Any written notice to Agency shall be sent to City Hall, 835 East 14th Street, San <br /> Leandro, California, 94577. <br /> C. Notice shall be deemed given five (5) business days after the date of mailing. <br /> VI. [Section 600] DEFAULT <br /> Participant shall not be deemed to be in default of or in material non-compliance with this <br /> Owner Participation Agreement Page 7 of 9 <br />
