Bylaws of Warren Avenue Four Owners'Association <br />Page 11 <br />ARTICLE VIII. AMENDMENTS <br />Amendment of Bylaws <br />Section 8.01. These Bylaws may be amended by the vote or written consent of (1) <br />seventy-five percent (75%) of the Members; and (2) seventy-five percent (75%) of the votes of <br />Members other than the Declarant. <br />Prior Approval of Commissioner <br />Section 8.02. If required under Section 11018.7 of the California Business and <br />Professions Code, the prior written consent of the Real Estate Commissioner shall be obtained <br />prior to submitting a proposed amendment to these Bylaws to the vote of the Members. <br />ARTICLE IX. TAX-EXEMPT STATUS <br />Tax -Exempt Status <br />Section 9.01 The Board and Members of the Association shall conduct the business of <br />the Association in such a manner that should the Association acting through its Board and <br />Members later choose to, it may qualify and be considered an organization exempt from federal <br />and state income taxes pursuant to Section 528 of the Internal Revenue Code, and Section 23701t <br />of the California Revenue and Taxation Code, as amended. <br />Filing <br />Section 9.02. In the event the Association qualifies as an organization exempt from <br />federal and state income taxes, then the Board shall file or have filed any annual election for tax- <br />exempt status that is required under federal or state law, and shall cause the Association to <br />comply with the federal and state statutes, rules, and regulations pertaining to those exemptions. <br />CERTIFICATE OF ACTING SECRETARY <br />OF <br />WARREN AVENUE FOUR OWNERS' ASSOCIATION <br />I hereby certify that I am the acting Secretary of the above Association and that the foregoing <br />Bylaws constitute the Bylaws of the Association as duly adopted by the Board of Directors of the <br />Association on 12016. <br />Dated: <br />Eric Chan, Acting Secretary <br />
